Terms & Conditions — Trac Admin

Rules for using the Trac Admin application (for authorized staff).

  1. Acceptance of Terms
  2. By accessing or using the Trac Admin application (the “Admin App”), you agree to these Terms and Conditions (the “Admin Terms”). The Admin App is intended only for individuals authorized by their organization to perform operational or administrative functions. If you do not agree, do not use the Admin App.

  3. Definitions.
  4. In these Terms, “Service” refers to the Trac App or Trac Admin application, as applicable. “User” refers to any person who uses the App. “Organization” means any institution, company, or agency that licenses or operates the Trac platform. “You” and “your” refer to the individual end user of the App.

  5. License and Authorized Use
  6. We grant a limited, nonexclusive, nontransferable, revocable license to use the Admin App solely for internal operational purposes on behalf of your organization and within your assigned role. This license does not permit reverse engineering or creation of derivative works except as permitted by law. All rights not expressly granted are reserved by Trac.

  7. Accounts, Access, and Security
  8. Access requires an authorized account provisioned by your organization or Trac. You are responsible for safeguarding credentials and devices and for all activity under your account. Account sharing is not permitted. Notify your organization and Trac promptly if you suspect unauthorized access. Your organization may restrict or disable access at any time.

  9. Acceptable Use and Communications
  10. You must use the Admin App only for legitimate operational tasks, such as configuring routes, reviewing alerts, sending service notices to riders, or submitting feedback. You are responsible for the accuracy and lawfulness of messages you send through the Admin App and represent that you have authority to send them. Do not use the Admin App to send unlawful, harassing, defamatory, deceptive, or infringing content, to probe or bypass security, or to include sensitive personal information in broadcast notices unless you have a lawful basis and organizational approval. The Admin App is not a substitute for emergency services and must not be used to direct riders during lifethreatening situations.

  11. Operational Data and Confidentiality
  12. You may access operational data such as routes, driver alerts, and device information. Treat this information as confidential to your organization and use it only for authorized business purposes. Do not disclose confidential information to third parties except as permitted by your organization and by law.

  13. Monitoring, Logs, and Audit
  14. For security, compliance, and traceability, Trac and your organization may log and audit admin activity, including signins, configuration changes, and messages sent. By using the Admin App, you consent to this monitoring and audit.

  15. Service Information and Availability
  16. The Admin App may display live operational data that can be delayed, incomplete, or inaccurate for reasons outside our control, including network issues and GPS variability. The Admin App is provided “as is” and “as available,” and may be periodically unavailable due to maintenance or outages.

  17. ThirdParty Services and Links
  18. The Admin App integrates with trusted thirdparty services, including Firebase (Google) for authentication and messaging, Mapbox for maps and geospatial data, and Crashlytics for crash reporting. Your use of those services within the Admin App is subject to their terms and privacy policies. External links may be provided for convenience; we do not endorse or control thirdparty content.

  19. Intellectual Property
  20. The Admin App and its content are owned by Trac or its licensors and protected by intellectual property laws. You gain no rights other than the limited license granted above, and you must not remove or obscure proprietary notices.

  21. Privacy
  22. Your use of the Admin App is governed by the Admin Privacy Policy. Because Admin requires authentication and rolebased access, limited personal information about admin users and audit logs may be processed as described in that policy.

  23. Security
  24. We implement reasonable administrative, technical, and physical safeguards appropriate to the Admin App. No system is perfectly secure, and you share responsibility for security by maintaining device hygiene, using strong credentials, and following your organization’s security requirements.

  25. Disclaimers and Limitation of Liability
  26. To the maximum extent permitted by law, the Admin App is provided without warranties of any kind. Trac and its officers, employees, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of data, goodwill, or business interruption. In all cases, Trac’s total liability for claims related to the Admin App will not exceed any amount paid (if any) for the specific Admin App access giving rise to the claim.

  27. Indemnification
  28. You agree to indemnify and hold harmless Trac and its affiliates from claims, losses, liabilities, damages, and expenses, including reasonable legal fees, arising out of your misuse of the Admin App, your violation of these Admin Terms or applicable law, or your infringement of thirdparty rights.

  29. Suspension and Termination
  30. We or your organization may suspend or terminate your access for breach, misuse, or security risk. Upon termination, your rights under these Admin Terms cease immediately, but provisions intended to survive, such as confidentiality, intellectual property, limitations of liability, and indemnification, will continue.

  31. Changes to the Admin App and these Admin Terms
  32. We may modify or update the Admin App and these Admin Terms. If we make material changes, we will update the “Last Updated” date and, where feasible, provide notice within the Admin App or via other channels. Continued use after changes constitutes acceptance.

  33. Enterprise Agreements
  34. If your organization has a separate written agreement with Trac (for example, a SaaS or enterprise license), that agreement controls to the extent of any conflict with these Admin Terms.

  35. Governing Law and Jurisdiction
  36. These Admin Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. You agree to the exclusive jurisdiction of the courts located in Toronto, Ontario.
